General Terms and Conditions of the Service and Maintenance Agreement

1. Terms and Conditions of the Service and Maintenance Agreement for the computer programs TRANSDATpro, SEVENPAR, NTv2Creator, NTv2Poly, NTv2Tools, TOPOWIN, ORTWIN, and for the Geodetic Development Kit GeoDLL, as well as for database tables of the Geodata Germany database
   1. The Service and Maintenance Agreement includes the delivery of updates and consulting on all aspects of the licensed software.
   2. A Service and Maintenance Agreement can only be concluded if a current license agreement for the software already exists with the client.
   3. If the Service and Maintenance Agreement is concluded up to September 30, consulting will be provided until December 31 of the current year. The current service year will be invoiced.
   4. If the Service and Maintenance Agreement is concluded after September 30, consulting will be provided until December 31 of the following year. Only one service year will be invoiced.
   5. At the end of each service year, the Service and Maintenance Agreement is automatically extended for another year. The invoice for the following service year and any other necessary documents will be sent out in time at the end of the year.
   6. The Service and Maintenance Agreement can be terminated by either party with two months' notice to the end of a service year.
   7. The   General Terms and Conditions and the  General License Terms of Killet GeoSoftware Ing.-GbR, as amended, apply to the Service and Maintenance Agreement.
2. Updates
   1. After conclusion of the Service and Maintenance Agreement, the first update will be delivered to the client.
   2. Programs and Geodetic Development Kit GeoDLL:
      One update on a data carrier and the required activation code will be delivered at the beginning of each new service year. Updates with a changed version number that occur during the service year can be downloaded at any time from the Killet GeoSoftware Ing.-GbR website and activated with the activation code.
      New activation codes are delivered in a sealed envelope. The current version of the software delivered as an update can be easily installed over the previous version. The software is activated by entering the activation code. The installation takes only a few minutes.
   3. Database tables of the Geodata Germany database:
      One update is delivered on a data carrier in January / February of each year. All database tables are then updated with the changes provided by the relevant authorities and organizations to reflect the data status as of January 1.
   4. Invoicing takes place together with the delivery of an update.
   5. Delivery is made to the client's address specified in the Service and Maintenance Agreement.
   6. The changes compared to the previous version are documented in the history.pdf file, which is included in the installation package and can be found on the KilletSoft website.
3. Consulting
   1. Consulting refers to the installation and use of the software for its intended purpose. Consulting also includes approaches to solving problems related to the software. The consultant (Killet GeoSoftware Ing.-GbR) supports the client to the best of their knowledge and belief.
   2. Consulting is a free, active, and self-directed process. The consultant is available to the client as a helper and process facilitator within the scope of his capabilities. Since the actual work must be done by the client himself, the consultant cannot guarantee expected results.
   3. Consulting is provided in German by telephone or email. The client is responsible for establishing the necessary telephone connections.
   4. Consulting is provided during normal working hours, ad hoc where possible or usually within 24 hours.
   5. Consulting is provided by telephone to the client named in the Service and Maintenance Agreement or their representative, or sent to the client's email address specified in the Service and Maintenance Agreement.
   6. No consulting takes place during operational interruptions due to company holidays or other unavoidable causes. Consultation will be rescheduled for the first day after the end of the operational interruption. Operational interruptions will be announced in time in the information section of the Killet GeoSoftware Ing.-GbR website.
4. General information
   1. The Service and Maintenance Agreement is subject exclusively to German law.
   2. The place of jurisdiction for all disputes between the client and Killet GeoSoftware Ing.-GbR regarding the content and conclusion of the Service and Maintenance Agreement is the place of office of Killet GeoSoftware Ing.-GbR.
   3. Should individual provisions of the above terms and conditions be or become invalid in whole or in part, this shall not affect the validity of the remaining provisions.
